RETROCPLD SOFTWARE LICENSE AGREEMENT

1. LICENSE

Retrotroniks grants the user a limited, non-exclusive,
non-transferable license to use the RetroCPLD software in accordance
with the terms of this agreement.

Ownership of the RetroCPLD software and all associated intellectual
property remains with Retrotroniks.


2. PERMITTED USE

The user may use RetroCPLD to design, compile, and produce programming
data for programmable logic devices.

Unless otherwise prohibited by the terms of a particular license,
designs and programming files created by the user with RetroCPLD
remain the property of the user.


3. RESTRICTIONS

The user may not:

    - redistribute, sublicense, sell, rent, or lease RetroCPLD;

    - modify or create derivative versions of the RetroCPLD
      executable;

    - reverse engineer, decompile, disassemble, or otherwise attempt
      to derive the source code or internal implementation of
      RetroCPLD except where such restriction is prohibited by
      applicable law;

    - extract, reproduce, publish, or redistribute RetroCPLD's
      internal device databases, fuse mappings, routing information,
      fitting algorithms, or other proprietary implementation data;

    - circumvent, disable, alter, or defeat RetroCPLD registration
      or licensing mechanisms;

    - share or redistribute a registration license except as
      expressly permitted by Retrotroniks.


4. LIMITED MODE

RetroCPLD may provide a LIMITED operating mode that does not require
a purchased registration license.

The devices and features available in LIMITED mode are determined by
Retrotroniks and may differ between versions.


5. REGISTERED USE

Access to additional devices or features may require a valid
RetroCPLD registration license.

Registration licenses remain subject to this Software License
Agreement.


6. USER DESIGNS

This agreement does not claim ownership of logic designs, RetroCPLD
source files, or JEDEC files independently created by the user using
RetroCPLD.

The user is responsible for verifying the correctness and suitability
of all designs produced using the software.


7. NO WARRANTY

RETROCPLD IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS
OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND
NONINFRINGEMENT.

Retrotroniks does not warrant that the software will be error-free,
that generated programming data will be suitable for every device or
application, or that the software will meet every user's
requirements.


8. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, RETROTRONIKS SHALL
NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL,
OR EXEMPLARY DAMAGES ARISING FROM THE USE OR INABILITY TO USE
RETROCPLD.

The user assumes responsibility for verifying designs before
programming devices or connecting them to hardware.


9. THIRD-PARTY PRODUCTS

RetroCPLD may support programmable logic devices manufactured by
third parties.

All third-party product names, trademarks, and registered trademarks
are the property of their respective owners.

RetroCPLD and Retrotroniks are not affiliated with or endorsed by
those manufacturers unless expressly stated otherwise.


10. TERMINATION

This license terminates automatically if the user materially violates
its terms.

Upon termination, the user must cease use of RetroCPLD and destroy
copies of the software and any registration license as required by
applicable law.


11. ENTIRE AGREEMENT

This agreement constitutes the software license governing use of
RetroCPLD unless a separate written agreement supplied by
Retrotroniks expressly supersedes these terms.
